1. Agreement to Terms

By accessing and using the services provided by Code By Bit LTD ("Company", "we", "us", or "our"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these Terms & Conditions, please do not use our services.

2. Services Description

Code By Bit LTD provides custom software development services including but not limited to:

• Web application development
• Mobile application development
• Cloud infrastructure solutions
• UI/UX design services
• Backend development
• DevOps and CI/CD implementation

3. Use of Services

3.1 Eligibility

You must be at least 18 years old and have the authority to enter into these Terms & Conditions on behalf of yourself or your organization.

3.2 Account Security

You are responsible for maintaining the confidentiality of any login credentials and for all activities that occur under your account.

4. Project Engagement

4.1 Project Scope

All projects will be clearly defined in a separate Statement of Work (SOW) or project agreement that outlines:

• Project deliverables
• Timeline and milestones
• Payment terms
• Specific terms related to the project

4.2 Changes to Scope

Any changes to the agreed project scope must be documented and approved by both parties. Additional charges may apply for scope changes.

5. Payment Terms

5.1 Fees

All fees will be specified in the project agreement or SOW. Payment terms typically include:

• Upfront deposit (typically 30-50% of project cost)
• Milestone-based payments
• Final payment upon project completion

5.2 Late Payments

Late payments may incur interest charges and may result in suspension of services until payment is received.

6. Intellectual Property Rights

6.1 Ownership

Upon full payment, the client will own the custom-developed code and deliverables as specified in the project agreement.

6.2 Pre-existing IP

Code By Bit LTD retains ownership of any pre-existing intellectual property, frameworks, libraries, or tools used in the project development.

6.3 Portfolio Rights

We reserve the right to showcase completed projects in our portfolio unless otherwise agreed in writing.

7. Confidentiality

Both parties agree to keep confidential all non-public information disclosed during the course of the project. This obligation survives the termination of services.

8. Warranties and Disclaimers

8.1 Service Warranty

We warrant that services will be performed in a professional and workmanlike manner in accordance with industry standards.

8.2 Disclaimer

Except as expressly stated, services are provided "as is" without warranties of any kind, either express or implied.

9. Limitation of Liability

To the maximum extent permitted by law, Code By Bit LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.

10. Termination

10.1 Termination by Client

Clients may terminate services with written notice. Payment for work completed up to the termination date is required.

10.2 Termination by Company

We reserve the right to terminate services if:

• Payment terms are violated
• Client breaches these Terms & Conditions
• Circumstances make it unreasonable to continue services

11. Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of England and Wales, United Kingdom, without regard to its conflict of law provisions.

12. Dispute Resolution

Any disputes arising from these terms shall first be attempted to be resolved through good faith negotiations. If unresolved, disputes may be submitted to mediation before pursuing litigation.

13. Changes to Terms

We reserve the right to modify these Terms & Conditions at any time. We will notify clients of any material changes via email or through our website. Continued use of services after changes constitutes acceptance of the modified terms.

15. Severability

16. Entire Agreement

These Terms & Conditions, together with any project-specific agreements or SOWs, constitute the entire agreement between you and Code By Bit LTD regarding the use of our services.
